Terms and conditions of trade
Offer and conclusion of contract
The order is a binding offer. We have the choice to accept this offer within 14 days by means of order confirmation or by dispatching the goods to the client within the same period. In case of our not accepting the order we are obliged to inform the client immediately.
If a contract for the supply of goods or services is concluded between us and a consumer by means of distant communication only (distant sales contract), the consumer has the right to cancel the order. The cancellation must be submitted 2 weeks before delivery of goods. This can take place either by written cancellation or by return of goods within the due time. A statement of grounds is not necessary. A consumer has no right to cancel the order by patterns,maps of patterns,books and flat glass.
The consumer is obliged to pay compensation for any impairments to the proper use or value of the goods.
The consumer may examine the goods carefully and painstakingly, however is obliged to compensate for any loss in value caused by usage in excess of examination alone, and which has the result that the goods no longer retain their new market value.
Prices, terms of payment
We charge the prices valid on the day of delivery in EURO, statutory VAT included. Our prices are subject to confirmation.
Our prices are quoted ex works, Göttingen warehouse. Unless otherwise agreed net payment is due upon receipt of invoice.
We supply new customers on receipt of advance payment or PayPal.
Delivery and delivery delays
During the delivery period goods remain subject to modifications in the construction or shape, deviations in the colouring, or modifications to the supply volume on the part of the manufacturer, as far as we deem these modifications or deviations reasonable and acceptable to the buyer.
No rights can be derived alone from our own or the manufacturers use of numbers to identify the order or the goods on order.
Agreed delivery dates, whether firmly stipulated or not, must be submitted in writing. Our compliance to the delivery time limit is subject to the accurate and timely delivery to us by our suppliers. We strive to dispatch all goods available in our warehouse within 2 days of receipt of order. Imported articles can entail a delivery time of 6 months.
The above-mentioned delivery dates (time limits) represent a non-binding time schedule which can vary in length. GLASINSEL is bound by its obligations to deliver under the contract only if the buyer also fulfils his obligations under the contract punctually and in proper manner.
Force majeure or any business disruptions due to circumstances beyond our control in our own or our suppliers works, which impede delivery on the agreed delivery date or within the agreed delivery time limit, can lead to alterations in the above-mentioned dates and time-limits for the duration of these disruptions.
The client has the right to withdraw from contract should such disruptions cause a delay of more than 3 months. Any other rights of withdrawal from contract remain unaffected by this.
Risk
Delivery takes place at the buyers risk and is principally not insured unless other agreements have been reached by contract. The risk is passed to the buyer as soon as the consignment has been transferred to the carrier responsible for the transport or has left our warehouse for the purpose of dispatch. Should - by no fault of our own - dispatch of the goods be not possible, then the risk passes to the buyer, once he has been notified that the goods are ready for dispatch.
Retention of title
The goods supplied by us remain our property until the total receivables resulting from our business connection have been paid in full.
Return of goods
Except patterns.
If the buyer has ordered goods by error or placed an order for too many goods these can only be returned if we have previously submitted to the buyer a written agreement to this return, and on the condition that the goods are in faultless order and saleable. The buyer is then liable for the return costs and also bears the transportation risks.
Return of packaging material
We are prepared to take back any packaging material delivered by us. We are however not liable for the costs for the return of packaging. We are unfortunately obliged to refuse delivery of any packaging material which has not been prepaid.
Additional terms and conditions of payment and delivery for export trade
All deliveries to foreign destinations are effected EXW warehouse Göttingen. Payment for dispatched goods must be by advance payment.The laws of the German Federal Republic are valid for all business, in particular the Bürgerliche Gesetzbuch (BGB) (civil rights) and the Handelsgesetzbuch (HGB) (trade rights).Place of jurisdiction is Göttingen.
Data protection
The buyer allows any data arising from the trade relation to be held on data media. Third parties shall not be allowed access to any such data.
